DATES OF PROMOTION: The Sports Endeavors, Inc. "Give & Go" Sweepstakes (the "Promotion") begins at 12:00 a.m. Eastern Time (ET) on June 20, 2009 and ends at 11:59 p.m. ET on September 30, 2009 (the "Promotion Period") if entering online.

ELIGIBILITY: The Promotion is open to members* of the American Airlines AAdvantage® program who are legal U.S. residents residing in the 48 contiguous United States and the District of Columbia, and at least 13 years of age or older at the time of entry (the "Entrant"). Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live) or persons living in same household (whether related or not) of Sports Endeavors, Inc. (the "Sponsor"), American Airlines and each of their respective parent companies, divisions, affiliates, contractors, subsidiaries, distributors, sales representatives, retailers, advertising and promotion agencies, and any others engaged in the development, production, execution or distribution of this Promotion including, but not limited to the National Sweepstakes Company (the "Independent Administrator"), and the entities supplying the prizes (collectively, the "Promotion Entities") are not eligible to participate. Promotion is void in Puerto Rico, U.S. territories and possessions outside of the 48 contiguous United States, and where restricted or prohibited by law.

*PLEASE NOTE: Entrants must either; (a) be an existing member of the American Airlines AAdvantage® program; or (c) become a new member of the American Airlines AAdvantage® program at time of entry (and as further outlined in the "HOW TO ENTER" Section of these official Promotion rules). (Membership with the American Airlines AAdvantage® program is at no cost to existing or new members and is subject to its terms and conditions available at AAdvantage Terms and Conditions or by asking a representative at an American Airlines registration table found at an Event).

HOW TO ENTER: There are two (2) ways to enter.

1. Online Entry: Visit www.soccer.com/giveandgo and complete the official online entry form (the "Entry Form") in its entirety, including your first name, last name, address, city, state, zip code, e-mail address, date of birth and phone number (including area code).
• EXISTING MEMBERS: If you are an existing member of the American Airlines AAdvantage® program, submit your AAdvantage® member ID number.
• NEW MEMBERS: If you are not an existing member of the American Airlines AAdvantage® program, enroll by clicking the "Enrollment" link found in the Entry Form and completing the AAdvantage® online enrollment form (the "Enrollment Form") which will appear in a new window. Once you have completed the Enrollment Form and have received your new AAdvantage® member ID number, close the Enrollment Form window and submit your AAdvantage® member ID number in the Entry Form.

Upon completing the Entry Form (and the Enrollment Form, if applicable), click the submit button in order to receive one (1) entry into the Promotion. Limit of one (1) entry per person via Online Entry during the Promotion Period.



2. Event Entry: Visit the American Airlines registration table at a soccer game (the "Event") held during the Promotion Period in order to obtain an official Event entry form (the "Event Entry Form"), while supplies last. Then complete the Event Entry Form in its entirety, including your first name, last name, address, city, state, zip code, e-mail address, date of birth and phone number (including area code).
• EXISTING MEMBERS: If you are an existing member of the American Airlines AAdvantage® program, submit your AAdvantage® member ID number on the Event Entry Form. In the event you do not recall your AAdvantage® member ID number at time of entry, you may indicate such in the field provided on the Event Entry Form.
• NEW MEMBERS: If you are not an existing member of the American Airlines AAdvantage® program, enroll by indicating your agreement to enroll in the AAdvantage® program in the field provided on the Event Entry Form. Once your enrollment is processed, American Airlines will mail your new AAdvantage® member ID number to the address provided on the Event Entry Form (AAdvantage® program Terms & Conditions are available by asking a representative at the American Airlines registration table).

Upon completing the Event Entry Form, deposit your completed Event Entry Form in the entry box provided at the American Airlines registration table in order to receive one (1) entry into the Promotion (NOTE: Existing members who did not provide an AAdvantage® member ID number on the Event Entry Form will receive one (1) entry into the Promotion upon verification of their membership by American Airlines). Limit of one (1) entry per person via Event Entry during the Promotion Period. Event locations, dates and times will be updated throughout the Promotion Period. Please visit www.soccer.com/giveandgo and click on the "Upcoming Events" link for Event locations, dates and times.

Regardless of the method in which you choose to enter, either Online Entry or Event Entry, there is a limit of one (1) entry per person during the Promotion Period. Any attempt by an Entrant to obtain more than the stated number of entries allowed by using multiple / different identities and/or any other methods will void that Entrant's entry and that Entrant may be disqualified from the Promotion. In the event of a dispute regarding the identity of a person submitting an Online Entry, the entry will be deemed submitted by the person in whose name the AAdvantage® program member ID number is registered (for existing AAdvantage® program members) or the person in whose name the e-mail account is registered (the "Authorized Account Holder") (for new AAdvantage® program members). The Authorized Account Holder is the natural person who is assigned to the e-mail address by an internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses, or the domain associated with the submitted e-mail address. Potential winner(s) may be required to show proof of being the authorized account holder. In the event it is determined that an existing AAdvantage® member has provided an invalid AAdvantage® member ID number at time of Event entry, the Entrant providing such invalid AAdvantage® member ID number will not receive an entry into the Promotion. No mechanically or programmatically reproduced entries are permitted. Neither the Sponsor nor Promotion Entities will verify receipt of entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned. Sponsor and Promotion Entities are not responsible for lost, late, misdirected, illegible, or damaged entries.

DRAWING: On or about October 15, 2009, prize winners will be selected from among all eligible entries received in a random drawing conducted by the Independent Administrator, an independent judging organization, whose decisions are based upon their sole discretion and interpretation of these official Promotion rules and are final and binding in all respects. Odds of winning a prize are dependent upon the total number of eligible entries received during the Promotion Period. Prize winners will be notified by phone, email or mail upon final determination of prize winners. Potential winning notifications will not be left on an answering machines should winner be notified by phone.

PRIZES:

GRAND PRIZE DETAILS. One (1) Grand Prize consisting of two (2) round trip coach class Travel Authorization Certificates (each a "Travel Certificate", subject to the American Airlines Travel Authorization Certificate Terms listed below) on American Airlines or their Airline Associates (American Eagle or the AmericanConnection® carrier) from any city served by American Airlines or its Airline Associates in the 48 contiguous United States to Madrid, Spain, four (4) nights hotel accommodations at Melia Madrid Princesa hotel, one (1) $1,000 gift card (brand of gift card to be at the sole discretion of the Sponsor), round trip ground transportation from airport to the hotel in Madrid, two (2) tickets to a flamenco show including dinner, and two (2) tickets to a professional soccer match in Madrid (the "Soccer Tickets"), if available at time of travel**. Total Approximate Retail Value (the "ARV") of all prizes: $7,500.00. Grand Prize winner is responsible for the full cost of transportation to and from the closest American Airlines departure city and their place of residence. In the event the Grand Prize winner resides one hundred and twenty (120) miles or more away from the closest American Airlines departure city, Sponsor will reimburse Grand Prize winner for gasoline expenses incurred while traveling to and from closest American Airlines departure city (proof of gasoline purchases will be required for reimbursement). Grand Prize winner is responsible for any applicable fees, service charges, surcharges or passenger facility charges, and all insurance, federal, state and local taxes, if any, and gratuities, meals, incidentals and any other unspecified expenses associated with acceptance or use of the Grand Prize. Grand Prize is provided Òas isÓ and without any warranty of any kind. Grand Prize is non-transferable. No cash redemption or prize substitution allowed by Grand Prize winner. Sponsor reserves the right to substitute any element of the Grand Prize in an amount of equal or greater value if advertised element of Grand Prize becomes unavailable; provided no such substitute prize shall be from American without its prior written consent. Limit one (1) prize per person/household/family.

American Airlines Travel Authorization Certificate Terms. This certificate ("Travel Certificate") may be used to purchase air travel wholly on American Airlines, American Eagle carriers and the AmericanConnection® carrier. Travel Certificates are redeemable for air travel sold and originating in the 48 contiguous United States. Travel Certificates are not returnable or redeemable for cash, except where required by law. A lost, stolen or damaged Travel Certificate will not be replaced. A Travel Certificate has no implied warranties and is not a credit or debit card. A Travel Certificate is based on availability at the time of reservation, and must adhere to applicable blackout dates. A Travel Certificate is valid for one year from the date issued. Expiration date cannot be extended. Travel using Travel Certificates does not qualify for American Airlines AAdvantage mileage credit. American Airlines reserves the right to revise rules and conditions at any time without notice.

American Airlines Travel Terms. All travel must be completed by April 15, 2010. If Grand Prize winner is unable to travel by this date, Grand Prize will be forfeited. Travel must originate and end at the airport nearest winner's home that is served by American Airlines or their Airline Associates. Travel is subject to availability and certain other restrictions, which are subject to change in the sole discretion of American Airlines. Grand Prize winner's guest (the "Travel Companion") must be 18 years of age or older if not a member of Grand Prize winner's immediate family and will be required to execute and return a liability/publicity release (the "Travel Companion Waiver"), which must also be signed by such Travel Companion's parent or legal guardian, if minor) prior to travel. Grand Prize winner and Travel Companion must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip. Sponsor and American Airlines are not liable for any expenses incurred as a consequence of a flight cancellation or flight delay. Schedules subject to change without notice.

Grand Prize Winner (and Travel Companion) must travel between the dates of January 15, 2010 and April 15, 2010 and must confirm travel dates with Sponsor by November 30, 2009 or prize may be forfeited. All elements of the Grand Prize Trip, including but not limited to, the destination city, airport, airline, hotel and any other element of the Grand Prize Trip will be selected at the sole discretion of the Sponsor. All travel subject to space availability at time of request, blackout dates including holidays and other restrictions may apply. **Soccer Tickets are subject to availability and the dates and times in which Grand Prize winner and Travel Companion are traveling. In the event the Soccer Tickets are unavailable for any reason (including, but not limited to unavailability due game schedules conflicting with the dates in which the Grand Prize Winner and Travel Companion would like to travel), no alternate prize or cash equivalent to the Soccer Tickets will be awarded. Grand Prize winner and Travel Companion must have valid required travel documents (i.e., valid photo ID, passport, birth certificate) before departure. Grand Prize winner and Travel Companion are solely responsible for determining and obtaining, each at his/her own cost, required travel documents. In the event the Grand Prize winner is under the age of 18, the Travel Companion must be the parent or legal guardian of the Grand Prize winner. All expenses of personal nature and incidental travel costs not expressly stated in the Grand Prize Trip, including but not limited to, surcharges, airport fees, meals, personal charges at lodging, taxes or any other personal expense or incidental travel cost are the sole responsibility of the Grand Prize Winner and Travel Companion. All federal, state and local taxes, including, but not limited to, any taxes imposed on the income of the Grand Prize winner as a result of winning the Grand Prize and all other expenses not specifically mentioned herein as part of the Grand Prize are solely the responsibility of the Grand Prize winner. Any difference in the stated ARV of the Grand Prize Trip and the actual value of the Grand Prize Trip at time of booking will not be awarded.

SECONDARY PRIZES/PRIZE DETAILS:

The total ARV of all prizes to be awarded in the Promotion is $14,000.00. No prize substitution, except at Sponsor's sole discretion or as otherwise provided herein. Sponsor reserves the right to substitute a prize of equal or greater value if prize becomes unavailable due to reasons beyond the control of the Sponsor. Prizes are not transferable prior to award. The value of the Grand Prize is taxable as income and Grand Prize winner is solely responsible for any taxes on the Grand Prize, including, but not limited to all applicable federal, state and local taxes. No more than the number of prizes set forth in these official Promotion rules will be awarded. All prizes will be awarded. Limit of one (1) prize per person/household/family.

Name of prize manufacturers are used solely for the purposes of identification of the prizes. No endorsement, authorization, sponsorship, or approval of prize manufacturers is intended or implied by such use.

PRIZE CLAIMS: Except where prohibited, potential Grand Prize winner (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) must sign and return within seven (7) days of receipt, an Affidavit of Eligibility/Liability/Publicity Release Form, an IRS Form W-9 and a Travel Companion Waiver (executed by the Travel Companion), (collectively, the "Required Documents")in order to claim the Grand Prize. If potential Grand Prize winner (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) fails to return the Required Documents within seven (7) days of receiving it, potential Grand Prize winner forfeits the right to the Grand Prize (without compensation of any kind) and another Grand Prize winner will be selected at random from among all remaining eligible entries received. Potential Grand Prize winner's (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) receipt of prize will be reported as income to the Internal Revenue Service. In the event it is deemed during the verification process that potential Grand Prize winner (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) does not have a unique, personal and valid social security number for Sponsor to report the tax liability associated with acceptance of the prize, potential Grand Prize winner (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) will be disqualified and another Grand Prize winner selected at random from among all remaining eligible entries received. Valid social security numbers will be determined by IRS requirements. Potential Grand Prize winner (or their parent or legal guardian if Grand Prize winner is not the age of majority in their state of residence) consents to SponsorÕs use of his/her name, likeness, biographical information, voice and other indicia of persona in advertising/trade/promotional/publicity materials worldwide without notice or additional compensation (TN residents will not be required to sign a publicity release as a condition of winning the Grand Prize). All Secondary Prizes will be awarded approximately six (6) to eight (8) weeks after all winners are verified.

GENERAL: By participating, Entrants agree: [a] to abide by and be bound by these official rules and decisions of Sponsor and Independent Administrator which shall be final and binding in all respects relating to the Promotion, including without limitation the interpretation of these official rules; and [b] to release, discharge and hold harmless Sponsor, American Airlines, their franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company (including the Independent Administrator) involved in the development or execution of the Promotion (and their respective officers, directors, employees, agents, shareholders and representatives) from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Promotion or their acceptance, receipt, possession, use or misuse of prizes. Sponsor makes no warranty, representation or guarantee on the prizes. Entries which contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, shall be void. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion (including the Independent Administrator) and their respective directors, officers, shareholders, agents, representatives, and employees are not responsible and shall not be liable for; (a) electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction; (b) unauthorized access to or alterations of entry materials; (c) technical, network, telephone equipment, electronic, computer, hardware or software malfunctions; (d) late, lost, misdirected, mutilated, incomplete, or illegible entries; (e) limitations of any kind or inaccurate transmissions of or failure to receive information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof (if applicable); or (f) any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted. Sponsor may prohibit an Entrant from participating in the Promotion or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Promotion Entities. If for any reason this Promotion is not able to be conducted as planned, including, but not limited to reason of infection by computer virus, technical failures, tampering, unauthorized intervention, fraud or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and randomly draw the winners from those eligible entries received up to the cancellation/suspension date. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE WWW.SOCCER.COM/GIVEANDGO (THE "WEBSITE") OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
